1. Acceptance of terms
By accessing or using the GNR Digital Design Portal ("Portal"), you agree to be legally bound by these Terms & Conditions. If you do not agree, you must not access or use the Portal.
2. Eligibility and account access
2.1 Access to the Portal is restricted to approved users only.
2.2 GNR reserves the right to approve, reject, suspend, or terminate any account at its sole discretion.
2.3 Access is granted as a revocable, non-transferable, non-exclusive licence.
2.4 Login credentials must not be shared with any third party.
3. Nature of the service
3.1 The Portal provides access to product data sheets, CAD files, DWG drawings, technical documentation and related materials supplied by GNR's manufacturing partners ("Materials").
3.2 GNR does not manufacture the products listed on the Portal.
4. Intellectual property ownership
4.1 All Materials made available via the Portal remain the intellectual property of the relevant manufacturer or rights holder.
4.2 All portal design, layout, structure, databases, branding, software elements and compilation of content are the intellectual property of GNR.
4.3 No ownership rights are transferred to users.
5. Licence to use materials
5.1 Users are granted a limited licence to download and use Materials strictly for professional design, project specification and internal business use.
5.2 Materials may not be redistributed or resold, republished or modified for resale, uploaded to other platforms, or used to create competing databases, without prior written consent from GNR and/or the relevant manufacturer.
6. Prohibited conduct
Users must not:
- Copy, scrape, harvest or extract data using automated tools.
- Use bots, crawlers, spiders or AI data-mining tools.
- Reverse engineer any software, structure or database architecture.
- Attempt to gain unauthorised access to systems.
- Circumvent technical protection measures.
- Create derivative platforms using Portal data.
- Use content in a misleading or unlawful manner.
GNR reserves the right to pursue legal remedies for breach.
7. Anti-scraping and data protection measures
7.1 Automated access of any kind is strictly prohibited.
7.2 GNR may deploy technical detection systems to monitor scraping or abnormal activity.
7.3 Breach of this clause may result in immediate account termination and legal action.
8. Revocation and suspension
8.1 GNR may suspend or terminate access at any time for breach of these Terms, misuse of Materials, protection of commercial relationships, or operational reasons.
8.2 Upon termination, all licences granted under these Terms immediately cease.
9. Manufacturer content disclaimer
9.1 Technical content is provided by third-party manufacturers.
9.2 GNR does not warrant the completeness, accuracy, or suitability of manufacturer data.
9.3 Users remain responsible for verifying specifications before project use.
10. Limitation of liability
To the fullest extent permitted by law, GNR shall not be liable for indirect or consequential losses, loss of profit or project delay costs, specification errors, or reliance on manufacturer materials.
11. Indemnity
Users agree to indemnify and hold harmless GNR from claims arising from misuse of Materials, breach of these Terms, unlawful use of downloaded content, and third-party claims caused by user actions.
12. Confidentiality
Users must not disclose non-public features, tools, or commercial arrangements visible within the Portal.
13. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over disputes.
14. Amendments
GNR reserves the right to update these Terms at any time. Continued use of the Portal constitutes acceptance of revised Terms.
